A corporation in Nevada and California or anywhere in the United States is a seperate entity. It has its own tax identity and it is treated just as if it were a seperate person in the eyes of the law. For example, say someone is injured inside a corporations business building. The accident victim could only sue the corporation, not its stockholders who own the corportaion through the ownership of the corporate stock. The same is true with Limited Liability Companies know as an LLC. An LLC, however, has different tax treatment than a corporation and it operates under what is know as an "operating agreement," which can be much different than the "corporation bylaws," which rules a corporations actions. There has been many lawsuits between the stockholders of a corporation or members of an LLC because somebody used boilerplate bylaws or a standard "form" operating agreement. That does not mean that every set of corporate bylaws or every operating agreement has to be custom made. It is really a business-by-business decision.
